In order to grow cash distributions to investors, Primary Energy Recycling Corporation intends to expand its operations by making additional investments and acquisitions either from the Manager or from third parties with a focus on recycled energy and other power generation facilities in the United States and Canada. Primary Energy will make additional acquisitions or investments only if it believes that such acquisitions or investments will meet its acquisition and investment guidelines. Such acquisitions or investments may be financed by the issuance of additional EISs or other securities of Primary Energy Recycling Corporation or through additional indebtedness.

In addition, the Manager has granted Primary Energy Recycling Corporation a right of first offer on the following projects which may provide Primary Energy Recycling Corporation with near term and long term high quality acquisition opportunities. These recycled energy generation facilities projects are all wholly-owned by the Manager. As new projects are developed or acquired by the Manager, it expects to be able to present additional projects to Primary Energy Recycling Corporation.
