Management

Primary Energy is responsible for its executive management and has contracted with CPI Ventures USA LLC ("Capital Power") to provide operations and administrative services to Primary Energy Recycling Corporation and its subsidiaries.

Services include overseeing all plant operations and maintenance as well as accounting and public filings, etc.

The Capital Power management team is well qualified to operate projects in the energy industry, project and corporate finance, and utility and steel operations. Capital Power takes a very active role as a hands-on operator of the facilities that it owns.

Management Team


John D. Prunkl:
Mr. Prunkl is the President and Chief Executive Officer of Primary Energy and is a member of the Board of Directors. Mr. Prunkl’s experience includes leading EnerTech Environmental as its President and Chief Operating Officer during the commissioning of the world’s first SlurryCarb renewable fuel facility in Rialto, California. Mr. Prunkl held the position of President of Primary Energy and President of EPCOR USA, serving as manager of Primary Energy from 2006 to 2008. From 2001 to 2006 he held the position of Executive Vice President of Operations when Primary Energy and its predecessor Private Power experienced significant growth from a series of successful acquisitions.

Earlier in his career Mr. Prunkl co-founded MetroGen LLC, an energy start up company that was instrumental in the aggregation of standby generators in New York City that prevented brownouts and blackouts. In 1996 Mr. Prunkl joined Illinova Generating Company (now part of Dynegy) as Vice President of Operations where he managed a global portfolio of diverse power generating assets from wind to coal. During this same time period he also served as President of Illinova Resource Recovery, a subsidiary specializing in the generation of electric power from industrial waste byproducts. John Prunkl began his career at GE Power Systems holding a variety of management positions including leading the technical and commercial sale of gas turbines, steam turbines and turnkey power plants primarily in the Asian market.

John holds an MBA from Kellogg School of Management, Northwestern University, a Bachelor of Science in Mechanical Engineering from Auburn University, and a Bachelors of Arts degree in Mathematics from Huntingdon College.

V. Michael Alverson: Mr. Alverson is CFO and Vice President. In this position, he is responsible for the principle administrative functions of the company including accounting, treasury, human resources and information technology. In addition, Mr. Alverson serves as the Investor Relations contact for Primary Energy Recycling Corporation. Mr. Alverson has more than thirty years experience in the energy industry. In 1996 he was one of the founding members of Primary Energy, Inc., a subsidiary of NiSource Inc and predecessor to Primary Energy, where he has held several different executive positions, including responsibility for engineering and construction of project facilities, operations and maintenance, project finance and general administration. From 1973 to 1996 he served in various capacities with Northern Indiana Public Service Company (“NIPSCO”), as subsidiary of NiSource Inc, where he began his career. Mr. Alverson held various technical positions, including Manager of Plant Engineering, all involved with the engineering, construction and upgrade projects of coal fired power plants. He also served as NIPSCO’s Director of Special Markets, which interfaced with the utility’s largest industrial customers on all aspects of gas and electric service and with cogeneration issues. Mr. Alverson received a BS in Mechanical Engineering from the University of Missouri — Rolla, and an MBA (Magna Cum Laude) from the University of Notre Dame.

David Hermanson: Mr. Hermanson has over 27 years of industry experience. Mr. Hermanson has been General Manager West Coast Operations since 2000, initially for Sithe Energies, then Primary Energy and now Capital Power. Prior to assuming that role, he was General Manager of the Oxnard plant from the start of commercial operation in 1990. Mr. Hermanson started his career with SDG&E as an Associate Engineer in Civil Engineering in 1980. He served in various positions up to Senior Power Contracts Administrator, where he administered contracts and sponsored testimony before the California Public Utilities Commission. Mr. Hermanson has been Chair of the California Cogeneration Council for the past 6 years, an ad hoc association of industrial cogenerators dedicated to enhancing the viability and visibility of cogeneration projects before regulatory agencies and the legislature in California. He has also served on the Board of Directors of Western Turbine Users, Inc. Mr. Hermanson received a B.S. in Civil Engineering from California Polytechnic State University, San Luis Obispo Cal where he has also served on the Industrial Development Board of the Civil Engineering Department. Mr. Hermanson is a registered Professional Engineer in the State of California.

Joseph Powell: Mr. Powell, Senior Vice President - Chief Accounting Officer, has more than twenty years of accounting and financial reporting experience. Previously, Mr. Powell was the Chief Financial Officer for a manufacturing/distribution firm executing a turnaround strategy and also has prior experience serving in the role of Executive Vice President of Finance and Operations for an internet security based technology company that was sold to a public entity. His employment experience also includes approximately seventeen years in the public accounting environment, including eight years in the audit practice at PricewaterhouseCoopers LLP., where his work activity included providing financial statement audit services combined with process development and reengineering capabilities to clients in various industries, as well as assisting companies with the IPO process and meeting public company reporting requirements. Mr. Powell is a Certified Public Accountant. He earned an MBA from Northwestern's Kellogg Graduate School of Management and a BS in Accounting from Indiana University.

Christopher L. Kopecky: Mr. Kopecky provides legal services for project companies. He has extensive experience in the development, acquisition, financing and disposition of assets. Mr. Kopecky was previously an associate at Baker & McKenzie specializing in project finance and real estate. Mr. Kopecky is a graduate of the University of Wisconsin and obtained his juris doctorate degree from Northwestern University School of Law.

Pamela M. Williams: Ms. Williams, Vice President - Human Resources, joined the company in 2001 to manage the accounting and HR functions of the company. As Capital Power has grown, she has increasingly focused her attention on HR and employee relations, being named Vice President in 2005. Ms. Williams is currently responsible for Capital Power's US benefit, compensation, performance review and recruitment functions. Ms. Williams has 20 years of experience in public accounting. She earned her B.A. in Accounting and Business Administration from Lakeland College in Sheboygan Wisconsin. She previously worked for Blackman Kallick Bartelstein, LLP for 12 years as a senior staff accountant and for Carl Zetley & Associates as an auditor in Milwaukee, Wisconsin for 8 years.
